These terms of use are entered into by and between you (“You”, “Your”, “you”, “yourself”, or “your”) and LIST T3N, a sole proprietor, organized and existing under the laws of the United States (“I”, “Me”, “my”, “me”, or “My”), with my principal place of business located in California, USA. The following terms and conditions, together with any documents I expressly incorporate by reference (collectively, “Terms of Use”), govern Your access to and use of the contents available at https://listt3n.com/, including any content, music, files, products, functionality, and services (collectively, “Content”, “Contents”, “content”, or “contents”) offered on or through the website (the “Platform”), whether as a guest or a registered user.

Acceptance of the Terms of Use

Please read the Terms of Use carefully before using the Platform. By using, accessing, or making a purchase on the Platform, You agree, affirm, and accept to be bound and abide by these Terms of Use, including my Cookie Policy, Privacy Policy, and any other document that I may post on the Platform at any given time. If You do not want to agree to these Terms of Use, You must not access or use the Platform or any Contents originating from the Platform.

This Platform is intended for individuals of legal age or with parental or guardian consent. If You are under the legal age of consent in your territory, You may not create an account or access the Platform, and You must immediately exit the Platform. By accessing or registering with this Platform, You affirm that You are of legal age to form a binding contract or have Your parent’s or guardian’s consent to do so (the parent will be the contracting party for minors, under the legal age of consent in your territory, up to the age of majority).

If You are using or accessing this Platform for the benefit of, or on behalf of any partnership, corporation, group, or other entity with which you are associated (“Organization”), then you are agreeing and accepting on behalf of yourself and such Organization to be bound and abide by these Terms of Use, and you affirm that you have the legal authority to bind such Organization to this Terms of Use agreement. References to “You”, “Your”, “you”, “yourself”, and “your” in this Agreement will refer to both You, as the individual using the Platform, and to any such Organization.

Changes to the Terms of Use

These Terms of Use may be revised or updated from time to time at the sole discretion of LIST T3N. All changes are effective immediately when I post them and apply to all access to and use of the Platform or any contents from the Platform thereafter (including any and all content, cover art, music, items or associated elements previously downloaded or taken from the Platform). Your continued use of the Platform or any contents from the Platform following the posting of revised Terms of Use means that You accept and agree to the changes. You are expected to check the Terms of Use page on the Platform regularly to be aware of any changes, as they are binding on You.

Use of Content from the Platform

By purchasing or downloading any content from the Platform, You hereby acknowledge and agree not to sell, re-sell, or distribute any of the contents or associated elements in any format that results or could result in financial gain for yourself or others, unless otherwise explicitly approved by LIST T3N. This includes but is not limited to using purchased or downloaded contents or elements to: create social media content, make merchandise for sale, or create derivative works. What is classified as “financial gain” is at the sole discretion of LIST T3N. All contents from or on the Platform are owned by LIST T3N and are not permitted for AI (artificial intelligence) use. 

By purchasing or downloading any content from the Platform, You agree not to distribute, modify, sell, loan, reproduce, rent, lease, or create derivative works based on, all or any part of the Platform or any materials or information available through the Platform, unless otherwise explicitly approved by LIST T3N.

By purchasing or downloading any content from the Platform, You hereby acknowledge and agree that such content is licensed, and not sold, to You. References made by LIST T3N to “purchase,” “buy,” “get,” or “download” any content or associated elements from the Platform relate solely to acquiring a license to access and use such content. I grant You a non-exclusive, non-sublicensible, non-transferable, limited, revocable license to access and use the Platform content that you purchase or download from the Platform solely for your non-commercial, personal use. This license does not give up any ownership of the Content to you. All Content on this Platform is owned and controlled by or licensed to me. I reserve all rights and ownership over the Contents not expressly granted to You by this Terms of Use agreement. 

Limitation of Liability

To the maximum extent permitted by applicable law, LIST T3N’s total cumulative liability arising out of or relating to the Platform, or these Terms of Use, whether arising in contract, strict liability, tort (including negligence), privacy, statutory violation, or data protection law, misrepresentation, or otherwise, shall not exceed the lesser of: (i) the total amount paid by You to LIST T3N for purchase of Platform contents during the six (6) months preceding the event giving rise to the claim; or (ii) fifty U.S. dollars (USD $50). In no event shall LIST T3N be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, loss or interruption of business, loss of goodwill, loss of data, loss of use, reputational harm, loss of data, loss of security of any information You provided in use of or connection with the Platform, loss of security of any information you provided with your receival or use of any third party materials, loss of security of any of your information through unauthorized interception by third parties, or loss of other intangibles, even if LIST T3N has been advised of the possibility of such damages. You hereby acknowledge that such monetary damages are sufficient for any damages that may be suffered by You in connection with the Platform or Content and specifically waive, to the maximum extent permitted by applicable law, any right to seek injunctive or equitable relief against LIST T3N.
